Terms of Service

1. Who we are

"Cinelore" or "we" means the sole proprietorship operated by Dylan Sullivan in Seattle, WA, USA. "You" means the person or organization installing or using Cinelore software.

2. Accepting these terms

By installing, activating, or using Cinelore software (Verbatim, Cutlore, or any future Cinelore product), you agree to these terms. If you don't agree, don't use the software.

3. Your license

When you buy a Cinelore product, we grant you a license to use it. The shape of the license depends on the product:

  • Verbatim Perpetual — a one-time purchase. The license is perpetual, non-transferable, and limited to two (2) machines belonging to you. You can install on additional machines you own by contacting us at support@cinelore.app.
  • 14-day free trial — a time-limited license. The trial expires 14 days after first activation. After expiration the plugin stops working until you buy a perpetual license.
  • Cinelore Cloud (when available) — a subscription. Your access continues for as long as your subscription is current.
  • Future Cinelore products may be sold under perpetual, subscription, or hybrid terms. The product page at the time of purchase will say which.

The license grants you the right to use the software. It does not transfer ownership of the software, its source code, or any intellectual property to you.

4. Things you can't do

You can't:

  • Sublicense, resell, rent, or lease Cinelore software to anyone else.
  • Reverse-engineer, decompile, or disassemble it, except where applicable law expressly permits it.
  • Use it to do anything illegal, including infringing copyrights you don't own, or harming others.
  • Misrepresent your purchase, license, or activation count to obtain additional usage.
  • Pretend that you wrote it, or strip Cinelore branding to redistribute it as your own product.

5. Updates

Updates within the same major version (e.g., v1.0 to v1.5) are included with your perpetual license. Major version upgrades (e.g., v1 to v2) may be sold separately. We'll give existing customers advance notice and a fair upgrade path before any major version flip.

6. Bring-your-own AI

Cinelore products use AI providers you bring yourself (Claude, OpenAI, Gemini, or a local Ollama instance). You're responsible for your account, billing, and usage with each provider. We don't sit between you and the provider, we don't proxy your data, and we don't pay your provider's bill. Provider costs and outages are between you and the provider.

7. Refunds

We offer a 14-day, no-questions refund on Verbatim Perpetual purchases. Email support@cinelore.app within 14 days of purchase. Refunds are processed by Lemon Squeezy and typically arrive in 3–5 business days. Subscription refunds (when subscription products exist) follow Lemon Squeezy's standard subscription refund policy.

8. Software is provided "as is"

Cinelore software is provided to you "as is," without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement. Editing software interacts with footage you've already shot, projects you've already built, and other people's work. You are responsible for backing up your projects and verifying that Cinelore's output meets your needs before delivery.

9. Limitation of liability

To the maximum extent permitted by law, Cinelore's total liability to you for anything related to Cinelore software is limited to the amount you paid Cinelore in the 12 months before the event giving rise to the claim. We're not liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or workflow interruption — even if we've been advised of the possibility.

10. You'll defend us if you do something we forbid

If your use of Cinelore software violates these terms or any applicable law and a third party sues us as a result, you agree to defend, indemnify, and hold us harmless from that claim, including reasonable attorneys' fees.

11. Termination

You can stop using Cinelore software anytime. We can terminate or suspend your license if you materially violate these terms (especially section 4). If we terminate for material breach, you don't get a refund for time already used.

12. Governing law

These terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-law principles. The exclusive venue for disputes that aren't resolved informally is the state and federal courts located in King County, Washington.

13. How we'll resolve disputes

If something goes wrong, email us at hello@cinelore.app first. We'll do our best to fix it. Most things can be solved with a conversation. If we can't resolve it informally and you live in the US, the dispute is subject to arbitration under AAA Consumer Arbitration Rules — except you may bring a small-claims-court action for any qualifying claim.

14. Changes to these terms

We may update these terms over time. Material changes (anything that meaningfully changes your rights or our responsibilities) will be announced by email to active license holders and waitlist subscribers. Continuing to use Cinelore software after a material change means you accept the new terms.
